Evolution Group PLC02 January 2008 The Evolution Group PlcDirectors' Interests 2 January 2008 The Evolution Group Plc (the "Company") has received notification fromEvolution EBT Limited as Trustee of The Evolution Group Plc Employees'Share Trust (the "Trust") (a discretionary trust of which all employeesof The Evolution Group Plc and its subsidiaries are beneficiaries) that 1) on 28 December 2007 the Trust completed the purchase of 25,000 ordinary shares of 1p each in the Company ("the Acquired Shares) in the Company at £1.167 per share; and 2) on 02 January 2008 75,000 ordinary shares of 1p each in the Company at £1.219 per share ("the Sale Shares") were sold on behalf of employees who had exercised call rights and options over ordinary shares of 1p each in the Company ("Shares") held in the Trust. None of the Shares referred to above were transferred to, sold on behalfof or purchased directly for any of the executive directors (the "Directors") of the Company. However, each of the Directors is a member of the class of discretionary beneficiaries of the Trust and is consequently taken to have an interest in all the Shares held in the Trust. As a consequence of the purchase of the aforementioned Acquired Shares in 1) above by the Trust the Directors are deemed to be interested in those Shares and as a consequence of the vesting of the Sale Shares in 2) above to employees other than the Directors, the Directors have ceased to be interested in those Shares. As at 2 January 2008, the Trust held a total of 14,000,058 Shares, representing approximately 6.27% of the Company's issued share capital at that date.
