Interserve Plc Notification of Transactions of Directors/ Persons Discharging Managerial Responsibility and Connected Persons

Pursuant to Disclosure and Transparency Rule 3.1.4, Interserve Plc (the"Company") announces that, on 4 April 2013, the following Executive Directors/Persons Discharging Managerial Responsibilities ("PDMRs") were granted optionsunder the Interserve Sharesave Scheme 2009 at an exercise price of £3.98 pershare. The options are exercisable between 1 June 2016 and 30 November 2016.The exercise of options on maturity is not dependent upon performance criteria.
