NOTIFICATION OF TRANSACTIONS OF DIRECTORS/PERSONS DISCHARGING MANAGERIALRESPONSIBILITIES AND CONNECTED PERSONS On 29 July 2014, GKN plc (the "Company") was notified by the Trustee of itsEmployee Share Ownership Trust of the transfer of ordinary 10p shares in theCompany to Adam Walker in relation to the release of a Restricted Share Awardgranted on 10 March 2014. Restricted Share Award (1) ("RSA") The RSA formed part of the awards granted to facilitate the recruitment of AdamWalker by recognising the value of unvested share awards granted by his formeremployer which were forfeited on appointment to the Company. The structure andvalue of the awards granted by the Company reflected the structure, timehorizons and performance conditions of the forfeited awards. The number of shares released and set out in the table below includes 167additional shares which are equivalent to the value of the dividends that wouldhave been paid on the shares awarded under the RSA from the award date to therelease date. All shares were retained by Adam Walker on release.
