John Wood Group PLC ("Company")The Company was informed that on 21 March 2006, the Trustees of the John WoodGroup PLC US Employee Share Trust (the "US EST"): * sold 14,400 ordinary shares in the capital of the Company at a ‚£2.544557 per share, being 0.00279% of the share capital of the Company pursuant to an exercise of share options under the John Wood Group PLC 2000 Approved Executive Share Option Scheme and the John Wood Group PLC 2000 Unapproved Executive Share Option Scheme (together "Schemes"). Following these transactions, the US EST holds a total of 1,234,350 ordinaryshares representing 0.2395% of the share capital of the Company.The class of discretionary beneficiaries for whom the US EST holds such sharesconsists of employees of the Company, including the following executivedirectors of the Company: Wendell R Brooks and Alan G Semple. Each of suchdirectors is accordingly deemed to be beneficially interested in all of suchshares held by the US EST.The transactions noted above do not involve any of the named executivedirectors or any persons discharging managerial responsibility.
