Notification of Transactions of Directors / Persons Discharging Managerial Responsibility

Paragraph 3.1.4 of the Disclosure and Transparency Rules

Poundland Group plc (the "Company") announces that on 13 February 2015, in accordance with paragraph 3.1.2R of the Disclosure and Transparency Rules, Darren Shapland, Non-Executive Chairman, notified the Company that his wife, Wendy Sarah Shapland, had on the day of the notification acquired 7,500 ordinary shares of 1 pence each in the capital of the Company ("Ordinary Shares") at a price of 3.849p each.

The combined holding of Mr and Mrs Shapland in the Company is now 27,500 Ordinary Shares, which is 0.0011% of the entire issued share capital.
