In accordance with Paragraph 3.1.2 of the Disclosure and Transparency Rules, WS Atkins plc ("the Company") was notified on Tuesday 16 December 2008 that on the 15 December 2008 the Trustees of the Plan purchased ordinary shares of 0.5 pence each in the Company at a price of £6.78 per share on behalf of the directors and persons discharging managerial responsibilities, as set out below:
