GlaxoSmithKline PLC31 January 2006 Notification of Transactions of Directors, Persons Discharging ManagerialResponsibility or Connected Persons I give below details of changes in the interests of Directors, PersonsDischarging Managerial Responsibility or Connected Persons in the OrdinaryShares of GlaxoSmithKline plc. The Administrators of the GlaxoSmithKline US Retirement Savings Plan ("the Plan") notified GlaxoSmithKline plc on 31 January 2006, that as a result of a movement in the fund on 27 January 2006, the number of Ordinary Share ADRs held bythe fund had changed from 18,075,774 to 18,046,998 at an average price of $51.11 The Plan is a discretionary fund of which all employees or former employees ofGlaxoSmithKline plc and its subsidiaries are potential beneficiaries. Two of theCompany's directors, Dr J P Garnier and Dr T Yamada are therefore potentiallyinterested in the shares held in the fund from time to time in the same way asother employees or former employees of GlaxoSmithKline plc and its subsidiaries.
