The Company announces that on 12 March 2012, ordinary shares in the Company were transferred to the following directors and persons discharging managerial responsibility (PDMRs) by Computershare Nominees (Channel Islands) Limited (the trustee of the Meggitt Employee Share Ownership Trust) in relation to awards made under the Company's Deferred Share Bonus Plan on 11 March 2010 (see RNS Number 5326I).

Terence Twigger* - 18,266 shares released and retained by Mrs E Twigger.

Total shareholding: 1,103,695.

Percentage of issued share capital: 0.14%.

Stephen Young* - 10,960 shares released and retained by Mrs C Young.

Total shareholding: 394,718.

Percentage of issued share capital: 0.05%.

Philip Green* - 8,372 shares released and retained by Mr P E Green.

Total shareholding: 552,199.

Percentage of issued share capital: 0.07%.

David Johnson* - 5,632 shares released and retained by Mrs L Johnson.
