Schroders plc(the "Company")
As disclosed in the circular published on 12 July 2022 by the Company in connection with the enfranchisement of its non-voting ordinary shares, members of the Company's principal shareholder group (the "PSG") have the right under the Takeover Code, as a consequence of being diluted by the enfranchisement, to increase their aggregate shareholding following the enfranchisement by acquiring up to 1% of the total issued ordinary shares within 12 months of the enfranchisement becoming effective without triggering the need for a mandatory cash offer for the entire share capital of the Company (the "1% Bounceback").
On 23 March 2023, members of the PSG announced that they had completed the purchase of just under 1% of the Company's shares using the 1% Bounceback.
The following notification made under Article 19(1) of the UK Market Abuse Regulation relates to the further utilisation of the 1% Bounceback by a Company director who is a member of the PSG.
