Evolution Group PLC19 April 2007 The Evolution Group PlcDirectors' Interest 19 April 2007 The Evolution Group Plc (the "Company") has received notification fromEvolution EBT Limited as Trustee of The Evolution Group Plc Employees'Share Trust (the "Trust") (a discretionary trust of which all employeesof The Evolution Group Plc and its subsidiaries are beneficiaries) thaton 19 April 2007 350,000 ordinary shares of 1p each in the Company ("Shares") were either transferred to or sold on behalf of employees who had exercised call rights and options over Shares held in the Trust. None of the Shares referred to above were transferred to or sold on behalfof any of the executive directors (the "Directors") of the Company. However,each of the Directors is a member of the class of discretionary beneficiariesof the Trust and is consequently taken to have an interest in all the Sharesheld in the Trust. As a consequence of the vesting of the aforementionedShares to employees other than the Directors, the Directors have ceasedto be interested in those Shares. As at 19 April 2007, the Trust held a total of 12,290,884 Shares, representing approximately 5.548 % of the Company's issued share capital at that date.
