Purchase of shares by Dr Louise Makin, Chief Executive Officer, and annual share award a) On 4 July 2005 Dr Louise Makin purchased 5,031 shares in the Company at a price of 168.25p per share, at a total cost of £8,551, including charges. Following this purchase, Dr Makin's shareholding increased to 16,303 shares being 0.01% of the issued share capital. b) On 1 July 2005, as part of an annual award of options to all staff, the Company awarded Dr Makin 81,894 Options under the Company's Share Option Scheme at 174.5p, the closing mid market price on 1 July 2005. The options will normally be capable of vesting three years after the date of grant, subject to continued employment and satisfaction of performance conditions. 2. Share awards to Ms Christine Soden, Chief Financial Officer a) On 1 July 2005, the date of her appointment as BTG's new Chief Financial Officer, the Company awarded Ms Soden 50,000 Options under the Company's Share Option Scheme at 174.5p, the closing mid market price on 1 July 2005. The options will normally be capable of vesting three years after the date of grant, subject to continued employment and satisfaction of performance conditions. b) On 1 July 2005 the Company made the following one-off conditional share award to Ms Christine Soden, Chief Financial Officer of BTG plc: 75,000 shares which will normally vest in July 2008, subject to the satisfaction of certain conditions, including performance conditions. Subject to the above, the Award will vest on terms similar to the Company's Restricted Share Scheme.
