The Berkeley Group Holdings plc
On 29 June 2009, the Executive Directors set out below were granted Options under The Berkeley Group Holdings plc 2009 Long Term Incentive Plan (the "LTIP"), approved by shareholders at the Company's Extraordinary General Meeting ("EGM") on 15 April 2009, over the numbers of ordinary shares set out against their respective names with an exercise price of £3 per share under each Part A Option and an exercise price of £8.40 per share under each Part B Option.
As agreed by shareholders at the EGM, the Part A Options have been granted conditionally on the surrender of the Directors' Element 2 Awards granted under The Berkeley Group Holdings plc 2004(b) Long-Term Incentive Plan (see table below).

Subject to the satisfaction of the exercise conditions, Part B Options become exercisable in two tranches:-
- 50% on 15 April 2015;
