3i Group PLC11 August 2006 UK Listing Authority Disclosure RulesDR 3.1.4R As potential beneficiaries of The 3i Group Employee Trust (the "Trust") allemployees of 3i Group plc (the "Company") and its subsidiaries have an interestin all the ordinary shares of 62 69/88p each in the Company ("Shares") held bythe Trust. These employees include P E Yea, S P Ball and M J Queen, who areDirectors of the Company. On 11 August 2006, the Company was notified that on 10 August 2006 participantsexercised options under The 3i Group Discretionary Share Plan to acquire fromthe Trust 259,553 Shares at 568.0p per Share.
