On 22 June 2009, under the terms of the Hornby Employee Benefit Trust (the "Trust") 73,179 Ordinary Shares vested and were transferred to beneficiaries of the Trust, including certain Directors and other Persons Discharging Managerial Responsibility, as follows:

Following vesting and transfer of the Ordinary Shares held in the Trust, certain beneficiaries (as detailed below) sold immediately 67,258 Ordinary Shares at a price of 102p per share and 5,000 Ordinary Shares at a price of 104p per share. As a result of the above transactions, certain Directors and other Persons Discharging Managerial Responsibility now hold the following number of Ordinary Shares:
