HALF OF THE AWARD WILL BE SUBJECT TO A PERFORMANCE CONDITION MEASURED FROM 1 JANUARY 2012 TO 31 DECEMBER 2014 AND HALF OF THE AWARD WILL BE SUBJECT TO A PERFORMANCE CONDITION MEASURED FROM 1 JUNE 2012 TO 31 MAY 2015. THE AWARD WILL BE EXERCISABLE FROM 1 JUNE 2015 TO 3 APRIL 2022.
