3i Group PLC23 February 2006 UK Listing Authority Disclosure Rules DR 3.1 In accordance with Disclosure Rule DR 3.1.2R, on 23 February 2006 Paul Waller, aperson discharging management responsibility ("PDMR") in respect of 3i Groupplc (the "Company") notified the Company that on 23 February 2006 hetransferred, for nil consideration 952 Ordinary Shares of 53 1/8p in theCompany to his daughter, Emily Waller.
