Notification of Interests of Executive Directors and Other Persons Discharging Managerial Responsibility ('PDMRs')

Pursuant to our obligations under Disclosure Rule 3.1.4 (R), we hereby advise you of the following transactions:

Performance Share Plan (the 'Plan')

On 28 March 2013, in accordance with the terms of the Plan, the Trustee of the AMEC Employee Share Trust granted Restricted Shares (being conditional awards of shares and as defined in the rules of the Plan) to each of the individuals noted below. No consideration is payable for the grant of the awards:

*Made in the form of nil cost options, with an 18 month exercise period post vesting.

Further, on 28 March 2013, Hisham Mahmoud purchased 5,084 shares at 1060 pence per share. This dealing was related to the Plan.

Employee Share Trust (the 'EST')

An award of ordinary shares, made under the EST on 4 October 2010, vested on 1 April 2013 to the following PDMR:

**BWCI Trust Company Limited, as the Trustee of the EST, today sold shares at 1056 pence per share to meet the tax liability arising on vesting.

Following all of the above transactions, the share interests of the directors and other PDMRs are as follows:-

Samir Brikho holds 1,807,023 ordinary shares in the Company (representing 0.61% of the voting rights in the Company). He also has an interest in 819,668 Restricted Shares in the Performance Share Plan and 1,335 shares under the Savings Related Share Option Scheme.

Ian McHoul holds 284,558 ordinary shares in the Company (representing 0.10 per cent of the voting rights in the Company). He also has an interest in 455,498 Restricted Shares under the Performance Share Plan and 1,512 shares under the Savings Related Share Option Scheme.

Hisham Mahmoud holds 31,237 ordinary shares in the Company, which represents 0.01% of the voting rights of the Company. He also has an interest in 182,047 Restricted Shares awarded under the Performance Share Plan, 5,215 shares awarded under the Employee Share Trust and 798 shares awarded under the Savings Related Share Option Scheme.

Simon Naylor holds 69,278 ordinary shares in the Company, which represents 0.02% of the voting rights of the Company. He also has an interest in 177,459 Restricted Shares awarded under the Performance Share Plan and 1,335 shares awarded under the Savings Related Share Option Scheme.

John Pearson holds 28,132 ordinary shares in the Company, which represents 0.01% of the voting rights of the Company. He also has an interest in 168,273 Restricted Shares awarded under the Performance Share Plan.
