Notification of Interests of Persons Discharging Managerial Responsibilities (PDMRs)
The notification set out below is provided in accordance with the requirements of the EU Market Abuse Regulation.
Standard Life Investments Long Term Incentive Plan (2014) ("SLI LTIP")
On 28 March 2014, the Company granted options ("awards") in the form of nil cost options to the undernoted PDMRs under the Standard Life Investments Long Term Incentive Plan ("SLI LTIP"). These awards vested, to the extent that the agreed SLI performance condition was met, on 28 March 2017. No consideration was payable on the vesting of these awards.
2015 Deferred Share Awards
On 28 March 2014, the Company granted share awards ("2015 Deferred Share awards") over existing ordinary shares in the Company to the undernoted PDMRs. The level of shares granted to each individual was equivalent to a proportion of his annual bonus for 2014. These awards vested on 28 March 2017. No consideration was payable on the vesting of these awards.
2014 Restricted Stock Plan Awards ("2014 RSP Share Awards")
On 28 March 2014 the Company granted Restricted Stock Plan awards ("2014 RSP awards") over existing ordinary shares in the Company to Colin Clark. These awards vested on 28 March 2017. No consideration was payable on the vesting of these awards.
During the vesting periods for all of the above awards, the awards carried a right to receive dividend equivalents, to the extent that the awards vested. The dividend equivalents were delivered as additional shares.

On 31 March 2017, the Company granted to each of the individuals noted below awards under the following plan:
2016 Short Term Incentive Plan - 2017 Deferred Share Award - Awards in the form of nil-cost options ('2017 Deferred Share Awards') over existing ordinary shares in the Company. The level of shares granted to each individual was equivalent to a proportion of his or her annual bonus for 2016.
These Awards will normally vest on 31 March 2020 conditional on continued employment and subject to the rules of the 2016 Short Term Incentive Plan. Once vested, an Award may be exercised in the 6 months thereafter.
No consideration is payable on the grant or vesting of all of the above Awards. During the vesting periods, all of the above awards carry a right to receive dividend equivalents, to the extent that the awards vest.
