RSA Insurance Group plc (the "Company") today received notification of the following transactions in its ordinary shares of 27.5p each ("Ordinary Shares") by PDMRs.
On 16 September 2009, grants of options under the Company's Sharesave Plan were awarded to the PDMRs listed below. The options may be exercised at a fixed price of £0.97 per share.

1. The LTIP represent the maximum shares available to the participant. The actual number of shares to be delivered will be dependent upon the satisfaction of performance criteria.
Simon Philip Guy Lee and Orlagh Hunt may exercise the options granted on 16 September 2009 during the period from 1 December 2012 until 31 May 2013.
Adrian Brown, Mark George Culmer, Andrew Kenneth Haste and Tim Mitchell may exercise the options granted on 16 September 2009 during the period from 1 December 2014 until 31 May 2015.
This announcement is made following notifications made in accordance with Disclosure and Transparency Rule 3.1.4R.
The transactions were carried out in London.
