UK Listing Authority Disclosure Rules and Transparency Rules

On 15 June 2009 the following persons discharging managerial responsibilities ("PDMRs") of 3i Group plc (the "Company") were notified that as part of the arrangements for the Company's rights issue in relation to the 3i Group Share Incentive Plan the trustee of that Plan had on their behalf:
(a) sold the number of nil paid rights to subscribe for ordinary shares of 73 19/22 pence each ("Shares") in the Company set out below, at a price of 135p per nil paid right; and
(b) taken up the nil paid rights to subscribe for the number of Shares set out below, at a subscription price of 135p per Share.
