Director dealing, exercise of options and issue of equity

IT staffing specialist, InterQuest Group plc (AIM: ITQ.L), announces that a total of 811,896 ordinary shares of 1 pence each ("Ordinary Shares") in the Group were issued and allotted to a director and staff further to an issue of equity and exercise of options on 4 May as follows:

Gary Goldsmith, the Chief Operating Officer of the Group, purchased 668,896 Ordinary Shares for his SIPP and another senior manager purchased 123,000 Ordinary Shares, all at 59.8p per share. Following this purchase, Gary Goldsmith is now interested in 668,896 Ordinary Shares, representing approximately 2.02% of the Group's total voting rights.

Another member of staff exercised 20,000 options on 4 May 2012 under the InterQuest Group plc EMI Executive Share Option Plan.

Application is being made for 811,896 Ordinary Shares to be admitted to trading on the AIM Market of the London Stock Exchange. The new Ordinary Shares will rank pari passu with existing Ordinary Shares and dealings are expected to commence on 14 May 2012.

Following Admission of the New Ordinary Shares, the total number of Ordinary Shares with voting rights will be 33,156,273.

The Company also has 75,500 Ordinary Shares held in treasury. The total number of shares in issue is therefore 33,231,773

The figure of 33,156,273 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interests in, or a change to their interests in, InterQuest under the FSA's Disclosure and Transparency Rules.
