Notification made in accordance with Rule 3.1.4R(1)(a) of the Disclosure Rules and Transparency Rules.

The Company was notified today that on 17 April 2009, Alastair Imrie, a Person Discharging Managerial Responsibility, exercised an option over 20,831 shares under the BAE Systems Performance Share Plan at nil consideration, and subsequently disposed of 10,168 shares at a price of 340.50 pence per share. The transaction took place on the London Stock Exchange.
