UBM plc Notification of transactions of directors UBM plc ("UBM") was notified on 27 June 2014 of the following dealings in itsordinary shares ("Shares") by directors of UBM. 1. Long term incentive awards PSP Awards were made to executive directors on 27 June 2014 under the UBM plc 2014Performance Share Plan ("PSP") as shown below. The number of Shares awarded wascalculated by reference to a price of 654.20 pence, being the average marketvalue of Shares for the five trading days prior to the award. Tim Cobboldreceived an additional one-off PSP award in recognition of awards forfeitedfrom his previous employment, subject to the same performance conditions as themain PSP award. The executive directors will become entitled to receive the Shares after aperiod of three years, subject to continued employment with the UBM Group andto the achievement of a number of performance conditions relating to growth inEarnings per Share; Return on Average Capital Employed; and relative TotalShareholder Return. The number of Shares shown below represents the maximumthat may be acquired if all performance conditions are achieved in full.
