Poundland Group plc (the "Company") announces that, in accordance with paragraph 3.1.2R of the Disclosure and Transparency Rules, Mary Barnard, Independent Non-Executive Director acquired on 25th September, 2015, 1,822 ordinary shares of 1p in the Company at a price of 2.72p each.

Mary Barnard's total holding in the Company now stands at 1,822 approximately 0.001% of the issued share capital.
