Waterman Group PLC24 March 2006 Waterman Group plc ("the Company") Director Shareholding The Company was yesterday informed that Mr James A Austin, a director of theCompany, exercised options over 50,000 new ordinary shares of 10p each at anexercise price of 44.5p per share on 21 March 2006. Following this transaction,Mr Austin's beneficial interest has increased to 491,614 ordinary shares,representing approximately 1.7 per cent of the issued ordinary share capital ofthe Company. The Company was also yesterday informed that Mr Craig WK Beresford, a directorof the Company, sold 11,357 ordinary shares of 10p each at a price of £1.71 pershare on 22 March 2006.
