Morgan Sindall PLC10 April 2008 MORGAN SINDALL plc (the "Company") Notification of Transactions by Directors and Persons Discharging Managerial Responsibility Awards under the Morgan Sindall Executive Remuneration PlanOn 9 April 2008, directors and persons discharging managerial responsibility("PDMRs") of the Company were granted options and/or conditional share awardsover ordinary shares of 5p each in the capital of the Company ("shares") underthe Morgan Sindall Executive Remuneration Plan 2005 ("the Plan"). Under the Planthe directors and PDMRs were allowed to choose between receiving eitherconditional share awards or options or a mixture of both. Subject to thesatisfaction of an earnings per share performance condition, options arenormally exercisable for a period of 7 years from 9 April 2011. No considerationwas paid for the grant of the options. Conditional share awards do not have an exercise price and will normally vest on9 April 2011 being the third anniversary of the date of grant, subject tocontinued employment with the Company and the satisfaction of an earnings pershare performance condition. No consideration was paid for the grant of theawards.
