NOTIFICATION OF TRANSACTIONS OF DIRECTORS, PERSONS DISCHARGING MANAGERIAL RESPONSIBILITY OR CONNECTED PERSONS

DEBENHAMS PLC PERFORMANCE SHARE PLAN ("PSP)

In accordance with DTR 3.1.4 Debenhams plc confirms that the Company received notification today that on 18 April 2013, Michael Sharp exercised an award over 155,488 ordinary shares of 0.01p being the total number of shares which vested under the PSP award granted to him on 24 November 2009. In respect of this particular exercise Mr Sharp has elected to settle his PAYE Tax and National Insurance Liabilities using his own funds thereby allowing him to retain in full the 155,488 ordinary shares transferred to him on exercise.

Michael Sharp's shareholding in Debenhams plc, following this notification, totals 6,360,067 ordinary shares of 0.01p representing 0.494% of the Company's issued share capital.
