Rathbone Brothers PLC26 January 2006 Rathbone Brothers Plc ("the Company")Notification of Transactions of Directors During a year end verification of directors' shareholdings, the Company wasinformed on 25 January 2006 that on 16 November 2005, a director, Roy AlfredMorris, transferred 10,000 Ordinary Shares of 5p from his beneficial holding toa holding in which he has a non-beneficial interest. The mid market closingprice on 15 November 2005 was £8.85. There was no change of registeredshareholder (Rathbone Nominees Limited).
