John Wood Group PLC ("Company")
The Company was informed that on 24 May 2007, the Trustees of the John Wood Group PLC US Employee Share Trust ("US EST"):
* transferred 30,000 ordinary shares in the capital of the Company at a consideration of 93.333 pence per share, being 0.0057% of the share capital of the Company, to employees of the Company, and its subsidiaries, exercising share options under the John Wood Group PLC 2000 Approved and Unapproved Executive Share Option Scheme
Following this transaction, the US EST holds a total of 5,842,442 ordinary shares representing 1.119% of the share capital of the Company.
The class of discretionary beneficiaries for whom the US EST holds such shares consists of employees of the Company, including the following executive directors of the Company: Wendell R Brooks and Alan G Semple. Each of such directors is accordingly deemed to be beneficially interested in the shares held by the US EST.
The transaction noted above does not involve any of the Company's directors or any persons discharging managerial responsibility.
