Sky plc
(the 'Company')
1. Pursuant to the Company's Co-Investment Plan (the 'Plan'), Jeremy Darroch, Group Chief Executive Officer, and Andrew Griffith, Group Chief Operating Officer & Group Financial Officer (together the 'Executive Directors'), each elected to invest the maximum entitlement of 50% of their bonus for the year ended 30 June 2016 in ordinary shares in the Company ('Investment Shares'), and have subsequently received an award of matching shares at nil cost ('Matching Shares') on 31 August 2016, as set out below.

Shares were purchased on behalf of the Executive Directors in London on 30 August 2016 at a price of 863.91 pence per share.
These awards will vest on 31 August 2019, dependent upon the achievement of a target level of growth in the Company's earnings per share in the three year period to 30 June 2019.
2. Pursuant to the Plan, on 30 August 2016 the Executive Directors each exercised matching shares granted in 2013 which vested in full on 28 August 2016 as a result of the Plan exceeding its target growth in earnings per share for the period ended 30 June 2016, as set out below.
