Notification of Transaction of Directors, Persons Discharging Managerial Responsibility or Connected Persons

This notification relates to a transaction notified in accordance with Disclosure Rules 3.1.4R(1)(a).

On 6 December 2010, Brewin Dolphin Holdings PLC (LSE:BRW) received notification that:

 1. Sarah Soar, a Director, has today exercised options totalling 30,376 ordinary shares of 1 pence each ("Ordinary Shares"), at a price of 82.3p each, pursuant to the Company's Senior Employee Matching Share Option Scheme December 2003 grant.

Her resultant holding in Ordinary Shares in the Company is now 327,988 ordinary shares (of which 70,319 are nil paid), representing approximately 0.1423% of the total issued share capital of the Company and the total number of shares over which options are held by her is 117,607.

2. Stephen Ford, a PDMR, has today exercised options totalling 10,369 ordinary shares of 1 pence each ("Ordinary Shares") (4,000 at a price of 98p each pursuant to the Company's Approved Share Option Scheme December 2005 grant and 6,369 options at a price of 157p each pursuant to the Company's Senior Employee Matching Share Option Scheme December 2005 grant).

His resultant holding in Ordinary Shares in the Company is now 191,111 ordinary shares (of which 48,338 are nil paid), representing approximately 0.0829% of the total issued share capital of the Company and the total number of shares over which options are held by him is 117,622.
