Scrip Dividend Scheme - Purchase of Shares

On 4 June 2010, RSA Insurance Group plc (the "Company") received notification of the following transactions in its ordinary shares of 27.5p each ("Ordinary Shares") by PDMRs.
On 4 June 2010, Ordinary Shares were purchased at a price of 124.3p per share. The shares were purchased through the Company's Scrip Dividend Scheme.

1. Includes Voluntary Deferred Shares acquired under the Company's Long Term Incentive Plan and Partnership Shares acquired under the Sharebuild Plan (with the exception of Clare Sheikh who does not participate in the Sharebuild Plan).
2. Of Mr Maxwell's total holding, 769 shares are held in Mr Maxwell's name and 326,443 shares are registered in the name of Newton Nominees. Mr Maxwell is a Non-executive Director and does not participate in the Company's Long Term Incentive Plan or Sharebuild Plan
3. Includes 117, 58 and 58 shares purchased by Mary McNamara, Harry Whittaker and Jack Whittaker respectively. Following this notification Mary McNamara, Harry Whittaker and Jack Whittaker hold 2,831, 1,415 and 1,415 shares respectively.
4. Includes 5,661 shares held by connected persons listed in note 3 above.
