Director/PDMR Shareholding

Ashtead Group PLC 2 July 2013 Director / PDMR Shareholding Ashtead Group plc (the "Company") announces that on 1 July 2013 it made theannual awards for 2013 to 131 senior executives under its Performance SharePlan ("PSP"). Awards under the PSP comprise the conditional right to receive ordinary sharesof 10p each which normally vest on the third anniversary of grant subject tocontinued employment and the achievement of challenging performance targets setby the Remuneration Committee. The Company intends to utilise shares held bythe Group's Employee Share Ownership Trust to fulfil any obligations to awardshares to employees which may arise in 2016. The following awards were made to the executive directors: Director Number of shares Percentage of issued covered by the award share capital Geoff Drabble 120,429 0.023 Sat Dhaiwal 33,108 0.006 Brendan Horgan 51,300 0.010 Suzanne Wood 33,108 0.009 The exercise price for the above awards is GBP1 for all ordinary shares towhich the award relates. No consideration was paid for the grant of any ofthese awards. The Company further announces that the awards made to its executive directorsin June 2010 under the PSP vested on 1 July 2013. As a result of vesting each director received the following number of shares: Geoff Drabble 694,416 Sat Dhaiwal 223,350 Brendan Horgan 171,017 Suzanne Wood 125,757 Geoff Drabble, Brendan Horgan and Suzanne Wood sold these shares on 1 July 2013at 664.5p per share. Sat Dhaiwal sold sufficient shares to fund the income andemployment taxes payable on the vesting of the award. Sat Dhaiwal sold 104,975shares on 1 July 2013 at 664.5p per share and retained 118,375 shares.
