Evolution Group PLC30 November 2006 The Evolution Group PlcDirectors' Interest 30 November 2006 The Evolution Group Plc (the "Company") has received notification from Evolution EBT Limited as Trustee of The Evolution Group Plc Employees' Share Trust (the "Trust") (a discretionary trust of which all employees of The Evolution Group Plc and its subsidiaries are beneficiaries) that on 29 November 2006 75,000 ordinary shares of 1p each in the Company ("Shares") were either transferred to or sold on behalf of employees who had exercised call rights and options over Shares held in the Trust. None of the Shares referred to above was transferred to or sold on behalfof any of the executive directors (the "Directors") of the Company. However,each of the Directors is a member of the class of discretionary beneficiariesof the Trust and is consequently taken to have an interest in all the Sharesheld in the Trust. As a consequence of the vesting of the aforementionedShares to employees other than the Directors, the Directors have ceasedto be interested in those Shares. As at 29 November 2006, the Trust held a total of 9,582,777 Shares, representingapproximately 4.311 % of the Company's issued share capital at that date.
