Transactions in shares by Persons Discharging Managerial Responsibility (“PDMRs”)

RSA Insurance Group plc (the “Company”) was notified on 5 December 2013, of the following transactions in the Company’s ordinary shares of 27.5p each (“Ordinary Shares”) by PDMRs.
On 5 December 2013, the PDMRs listed below were granted options under the Company’s Sharesave Plan over Ordinary Shares, with an exercise price of £0.95 per share. The options are exercisable between 1 February 2017 and 31 July 2017.

Mr Simon Lee, former Group Chief Executive of the Company elected for 3,221 options under the above mentioned Sharesave Plan. These options lapsed upon his resignation on 12 December 2013.
