Newcourt Group plc03 April 2007 Newcourt Group Plc ('Newcourt' or the 'Company') Directors' Shareholdings 3 April 2007 The Board of Newcourt was informed on 2 April 2007 that on 30 March 2007 anexecutive director of the Company, Hugh O'Neill, sold a total of 2,800,000ordinary shares of 25 cent each in the Company ("Ordinary Shares") at a price of€1.72 per Ordinary Share. Following this disposal Mr. O'Neill's total holdingis 418,863 ordinary shares in the Company. Mr O'Neill holds 737,668 options to purchase Ordinary Shares a price per shareof €0.70 pursuant to the Company's share option scheme. Mr O'Neill also holds1,996,637 warrants to purchase Ordinary Shares at €0.6815 per Ordinary Share. Hugh O'Neill has informed the Board that, with the consent of the RemunerationCommittee, he intends to exercise warrant and options issued to him, acquiring afurther 2,733,305 Ordinary Shares. A further announcement in relation to thiswill be made in due course. Should these transactions complete Mr O'Neill wouldhold 3,152,168 Ordinary Shares in the Company. In addition, the Board of Newcourt was informed on 2 April 2007 that on 30 March2007 a non-executive director of the Company, Philip Sykes, sold a total of250,000 Ordinary Shares of 25 cent each in the Company at a price of €1.72 perOrdinary Share.
