On 24 May 2007 the Company granted the following conditional awards ("Awards")under the Wm Morrison Supermarkets Long Term Incentive Plan ("LTIP"). Marc Bolland In addition to the Awards referred to above, the Company also granted to MarcBolland a conditional award over 294,256 Shares, for the reasons explained inthe Company's Notice of Annual General Meeting 2007. The One-Off Award willvest on 1 September 2009, but only to the extent that certain performancecriteria based on the Company's absolute earnings per share during the 2008/2009financial year and its like-for-like non-fuel sales over the 2007/2008 and 2008/2009 financial years are met. Following the grant of his Award under the LTIP and the One-Off Award, MrBolland will hold 851,701 Shares under option and/or award. No consideration is payable on the grant or vesting of the Awards or the One-OffAward.
