Transactions in Shares by Directors

Charlemagne Capital Limited ("Charlemagne", the "Company"), announces that on 4 May 2012, the Company granted conditional Share Awards to each of Jane Bates, Adrian Jones and Lloyd Jones, who are all Directors of the Company. Each grant was over 1,401,928 ordinary shares of US$0.01 in the Company, representing 0.5 per cent of Charlemagne's issued share capital. The grants are deferred for a period of two years and are part of a long term incentivisation strategy for executive directors.
