NOTIFICATION OF INTEREST PURSUANT TO DTR 3.1.2 OF THE DISCLOSURE AND TRANSPARENCY RULES

Capital & Regional plc ("the Company") was notified on 1 November 2011 that Charles Staveley, a person discharging managerial responsibilities, transferred 94,218 ordinary shares of 1p each ("Shares") to his Self Invested Pension Plan.

These Shares were transferred at a price of 34.0 p with an effective date of 1 November 2011. Following this transaction Charles Staveley's interest in the Company remains unchanged at 233,121 Shares representing approximately 0.066% of the Company's issued share capital.
