The Trustee of the Huntsworth Employee Benefit Trust (the "Trust") has acquired the following 50p ordinary shares in the Company:

These shares are to be held for the benefit of the Huntsworth group's employees. The executive directors of Huntsworth are deemed to have an interest in these shares in Huntsworth by virtue of their status as potential beneficiaries under the Trust.
