Babcock International Group PLC23 February 2007 Babcock International Group PLC 23 February 2007 Notification of Transactions of Directors, Persons Discharging Managerial Responsibility or Connected Persons On 22 February 2007 SG Hambros Trust Company Limited as Trustee of the BabcockEmployees' Share Trust (the "Trust") released from the Trust 5,500 ordinaryshares of 60 pence in Babcock International Group PLC (the "Company") insatisfaction of share options exercised by employees of the Company and itssubsidiaries. The Trust is a discretionary Trust for the benefit of employees of the Companyand its subsidiaries. The executive directors of the Company, namely Mr G ACampbell, Mr P L Rogers and Mr W Tame are potential beneficiaries of the Trustand are therefore deemed to be interested in shares held under the Trust for thepurposes of Section 324 of the Companies Act 1985. Following the above transaction, the Trustee of the Trust holds 2,929,549ordinary shares in the Company.
