Wood Group (John) PLC16 September 2005 RNS ANNOUNCEMENT - 16 September 2005 John Wood Group PLC ("Company") The Company was informed that on 13 September 2005, the Trustees of the JohnWood Group PLC Employee Share Trust (the "EST"): • sold 5,021 ordinary shares in the capital of the Company at a£2.09 per share, being 0.0009% of the share capital of the Company; and further • transferred 771 ordinary shares in the capital of the Company ata consideration of 158 pence per share being 0.0001% of the share capital of theCompany to employees of the Company and its subsidiaries, exercising shareoptions under the John Wood Group PLC (No 1) 2002 Executive Share Option Scheme; • transferred 2,541 ordinary shares in the capital of the Companyat a consideration of 128.5 pence per share being 0.0004% of the share capitalof the Company to employees of the Company and its subsidiaries, exercisingshare options under the John Wood Group PLC (No 1) 2002 Executive Share OptionScheme; and further • transferred 2,885 ordinary shares in the capital of the Companyat a consideration of 3.33 pence per share being 0.0005% of the share capital ofthe Company to employees of the Company and its subsidiaries, exercising shareoptions under the John Wood Group PLC (No 1) 2003 Long Term Retention Plan. Following these transactions, the EST holds a total of 20,612,487 ordinaryshares representing 4.001% of the share capital of the Company. The class of discretionary beneficiaries for whom the EST holds such sharesconsists of employees of the Company, including the following executivedirectors of the Company: Allister G Langlands, Wendell R Brooks, Alan G Semple,Trevor M Noble and Leslie J Thomas.
