KIER GROUP PLC - DIRECTOR/PDMR SHAREHOLDINGS
Grant of Awards under Long-Term Incentive Plan
Kier Group plc (the "Company") announces that, on 21 October 2013, it was notified that awards of contingent rights to receive the following maximum numbers of shares in the capital of the Company had been made to the following directors and person discharging managerial responsibilities ("PDMR") under the Kier Group plc 2010 Long-Term Incentive Plan (the "Plan"), at no cost to the individuals and subject to satisfaction of the performance targets and the rules of the Plan:
Mr S Bowcott | 28,905 shares |
Mr H J Mursell | 28,905 shares |
Mr M P Sheffield | 39,517 shares |
Mr H E E Raven (PDMR) | 7,731 shares

The price used for the purposes of calculating these awards was £17.81, being the middle market quotation of a share in the capital of the Company on 18 October 2013. These awards will not be included for the purposes of calculating the total beneficial interests of these individuals in the capital of the Company unless and to the extent that, they vest on 21 October 2016.
