Notification of Changes in the Interests of Directors/PDMRs
William Hill PLC (LSE: WMH) confirms, in accordance with the current Remuneration Policy of the Company approved by shareholders of the Company at the Annual General Meeting of the Company held in 2017, that Performance Share Plan ('PSP') awards were granted over the Company's ordinary share capital to Philip Bowcock, Chief Executive Officer and Ruth Prior, Chief Financial Officer, on 14 May 2018 as follows:

The PSP Award is granted as a nil-cost option award. Vesting of the Award is conditional, inter alia, on the satisfaction of four performance conditions, each measured over a three year performance period as follows: 40% of the Award will be subject to a performance condition based on aggregate earnings per share (EPS); 20% of the Award will be subject to relative shareholder return (TSR); a further 20% of the Award will be based on online net revenue; and the final 20% of the Award will be subject to a new Sustainability measure agreed with, and to be monitored by, the Corporate Responsibility Committee. Any Award shares vesting on satisfactory achievement of the performance conditions will be subject to the holding period required under the Remuneration Policy.
