VESTING OF AWARDS UNDER THE ANNUAL BONUS SCHEME
On 8 April 2013, awards of Restricted shares made to certain ExecutiveDirectors and PDMRs under Intu Properties plc's annual bonus schemearrangements in 2011 were released. The release of these shares triggers anincome tax and national insurance liability for the individuals which isgenerally met by selling a proportion of the shares vested. The resultingchanges to Executive Directors' and PDMRs' interests in Intu Properties plcshares are set out below:

MrsMarsden sold all 88,062 of the shares subject to the option at the capped priceof £3.339 per share, and therefore her total interest in Intu Properties plcshares remains at 8,443 (0.001%) following the exercise.
