JAMES CROPPER PLC (the "Company")

NOTIFICATION OF TRANSACTIONS OF

DIRECTORS AND PERSONS DISCHARGING MANAGERIAL RESPONSIBILITY ("PDMRs")

The Company has been notified today, that on 17 July 2017 the Trustees of James Cropper PLC Share Incentive Plan ("JC SIP Plan") transferred 7,357 ordinary shares of 25p each ("Shares") in the Company to participants of the SIP Scheme.

The Shares were awarded to the participants on 16 July 2012 at a price of 180.8p per Share with the beneficial rights to participants recognised immediately upon award.

The SIP Trust holds the Shares for a 5 year period from award and then transfers the Shares to the participants.

The above transfer includes the following PDMRs of the Company:

Isabelle Maddock (Director) 41 Shares

Jim Aldridge 166 Shares

Steve Atkinson 41 Shares plus 55 Shares awarded to spouse

Caroline Gibson 41 Shares

Jeannie Harper 166 Shares

David Nicholson 41 Shares

The total interests of the Company's PDMRs in Shares remain unchanged, with the exception of David Nicholson as detailed below.

As a result of the above transaction, the JC SIP Plan is interested in 167,899 Shares, representing 1.8% of the issued share capital of the Company.

Further, as a result of the change in interest of the JC SIP Plan, the non - beneficial interest of the following PDMR was decreased by:
