Notification of transactions of Directors/Persons DischargingManagerialResponsibilities("PDMRs ") In accordance with DTR 3.1.4R (1), GKN plc (the "Company") announces that on 6March 2015 the following awards were granted over ordinary shares of 10p in theissued share capital of the Company ("Shares") to the Executive Directors andother PDMRs under the GKN Sustainable Earnings Plan ("SEP"). Both the CoreAward and the Sustainability Award are subject to the achievement of stretchingEPS growth targets over an initial three year performance period. 50% of anyShares that vest under the Core Award will be released after the end of thisperiod and the remaining 50% will be released after a further two year deferralperiod. Release of the Sustainability Award at the end of the five year periodis subject to a further condition that the highest EPS attained in the initialthree year performance period is sustained during this two year deferralperiod. The vesting of the Core Award and Sustainability Award is also subjectto an additional test based on the Remuneration Committee's assessment of thequality of earnings. No consideration was paid for the grant of the above Awards and no payment isdue on release of any Shares.
