Notification of Transactions of Directors/Persons Discharging Managerial Responsibility and Connected Persons
Wolseley plc hereby confirms the following share purchase made by Frank Roach, a Director of Wolseley plc, under the dividend reinvestment arrangements of its depositary, Deutsche Bank Trust Company Americas, for shares held in the form of American Depositary Receipts ("ADRs").
The following notification was received from AST Equity Plan Solutions (a division of American Stock Transfer & Trust Company, LLC) on 2 January 2014 in respect of the final dividend for the year ended 31 July 2013 and the special dividend which were paid on 2 and 16 December 2013, respectively. Under the dividend reinvestment plan, 129.9552 ADRs were purchased on 10 December 2013 at a purchase price of $5.35187 and 322.7621 ADRs were purchased on 26 December 2013 at a purchase price of $5.71.
These shares will be delivered in the form of American Depositary Shares, each representing one-tenth of an ordinary share in the capital of Wolseley plc.
