Transaction in Own Shares
Further to the announcement released by the Company on 14 December 2009, the Company has been notified that due to an administrative error, HS Real Company LLC (a company owned by a discretionary trust, the beneficiaries of which are the adult children of Colin Halpern, the Non-Executive Vice Chairman of the Company, and Gail Halpern) actually disposed of only 19,835 ordinary shares of 1.5625 pence in the capital of the Company ("Ordinary Shares") (as opposed to the intended figure of 190,453 Ordinary Shares announced on 14 December 2009) pursuant to the tender offer which closed on 11 December 2009 (the "Tender Offer") at the price of 292 pence per Ordinary Share (the "Tender Price"). In order to correct this issue, the Company announces that it has today purchased 170,618 Ordinary Shares at a price of 292 pence per Ordinary Share, from HS Real Company LLC. These Ordinary Shares will be cancelled and will reduce the number of Ordinary Shares in issue to 161,175,765.
As a result of this transaction, the interests of Colin Halpern remain at 5,007,900 Ordinary Shares as set out in the announcement released by the Company on 14 December 2009.
In addition, due to a similar administrative error, the Company has been notified that Chris Moore, Chief Executive Officer of the Company, actually disposed of 96,733 (as opposed to the figure of 95,785 announced on 14 December 2009) Ordinary Shares pursuant to the Tender Offer at the Tender Price.
