Director/PDMR Shareholding

AVEVA Group plc announces that on 25 June 2016 it was notified that on 24 June 2016 the following share option exercises and share sales took place:

Richard Longdon, Chief Executive Officer

Mr Longdon exercised options of 1,968 shares following the 2013 award under the AVEVA Group Management Bonus Deferred Share Scheme and retained 1,968 shares, settling the National Insurance and Income Tax liability separately.

Mr Longdon exercised options of 977 shares following the 2014 award under the AVEVA Group Management Bonus Deferred Share Scheme and retained 977 shares, settling the National Insurance and Income Tax liability separately.

Mr Longdon exercised options of 186 shares following the 2015 award under the AVEVA Group Management Bonus Deferred Share Scheme and retained 186 shares, settling the National Insurance and Income Tax liability separately.

Following this, Mr Longdon owns 257,105 ordinary shares and holds options over 107,316 ordinary shares.

James Kidd, Chief Financial Officer

Mr Kidd exercised options of 1,161 shares following the 2013 award under the AVEVA Group Management Bonus Deferred Share Scheme and retained 1,161 shares in his wife's name, settling the National Insurance and Income Tax liability separately.

Mr Kidd exercised options of 627 shares following the 2014 award under the AVEVA Group Management Bonus Deferred Share Scheme and retained 627 shares in his wife's name, settling the National Insurance and Income Tax liability separately.

Mr Kidd exercised options of 117 shares following the 2015 award under the AVEVA Group Management Bonus Deferred Share Scheme and retained 117 shares in his wife's name, settling the National Insurance and Income Tax liability separately.

Following this, Mr Kidd owns 17,468 ordinary shares and holds options over 37,806 ordinary shares.

David Wheeldon, PDMR

Mr Wheeldon exercised options of 1,510 ordinary shares following the 2013 award under the AVEVA Group Management Bonus Deferred Share Scheme, and sold 712 shares at a price of £16.41 per share to fund the associated National Insurance and Income Tax liability associated with the exercise. He retains the remaining 798 ordinary shares.

Mr Wheeldon exercised options of 551 ordinary shares following the 2014 award under the AVEVA Group Management Bonus Deferred Share Scheme, and sold 260 shares at a price of £16.41 per share to fund the associated National Insurance and Income Tax liability associated with the exercise. He retains the remaining 291 ordinary shares.

Mr Wheeldon exercised options of 99 ordinary shares following the 2015 award under the AVEVA Group Management Bonus Deferred Share Scheme, and sold 47 shares at a price of £16.41 per share to fund the associated National Insurance and Income Tax liability associated with the exercise. He retains the remaining 52 ordinary shares.

Following this, Mr Wheeldon owns 75,788 ordinary shares and holds options over 33,515 ordinary shares.

Derek Middlemas, PDMR

Mr Middlemas exercised options of 1,103 shares following the 2013 award under the AVEVA Group Management Bonus Deferred Share Scheme and retained 1,103 shares, settling the National Insurance and Income Tax liability separately.

Mr Middlemas exercised options of 522 shares following the 2014 award under the AVEVA Group Management Bonus Deferred Share Scheme and retained 522 shares, settling the National Insurance and Income Tax liability separately.

Mr Middlemas exercised options of 78 shares following the 2015 award under the AVEVA Group Management Bonus Deferred Share Scheme and retained 78 shares, settling the National Insurance and Income Tax liability separately.

Following this, Mr Middlemas owns 36,746 ordinary shares and holds options over 30,333 ordinary shares.
